- Sponsors:
Amyris Clean Beauty, Inc. referred to herein as “COSTA BRAZIL” or “Sponsor” and Tropic of C referred to herein as “Tropic of C or Sponsor” and collectively referred to herein as “Sponsors”.
- How to Enter:
To enter (a) Follow @costabrazil and @tropicofc on Instagram (b) Like the post on Instagram (c) Tag a friend in the comments. For purposes of this Event, “receipt” of an Entry will be based on tag times shown. The Entry will be deemed to be submitted by the person in whose name a legitimate Instagram account is associated at time of Entry, but only if that person meets all other eligibility criteria. Use of fraudulent methods or other attempts to circumvent the Official Rules will result in your Entry being removed from eligibility in the sole discretion of Sponsors.
- Deadline to Enter:
This Event begins January 17, 2023 at 9 a.m. Eastern Standard Time, and ends January 20, 2023 at 13:00 p.m., Eastern Standard Time (the “Entry Period”). The Sponsors are the official timekeepers.
- Entry Limit:
The maximum number of entries for any one person into this Event (the “Entry Limit”) is one (1), regardless of the method of entry.
- Potential Winner Notification:
A random drawing will be conducted on or after close of Entry Period. Winners will be drawn from among all valid entries received by Sponsors during the Entry Period. Potential Winners will be notified, on or after the close of Entry Period and must timely respond in accordance with the terms and deadlines stated in the Official Sweepstakes Rules. The odds of winning depend on the number of eligible entries received during the Entry Period.
- Prize Provider(s):
Sponsors (“Prize Provider”).
- Prize Details:
The Winner will receive one Costa Brazil x Tropic of C Set including Tropic of C’s The Sculping C in Black Compression (One-Piece), Costa Brazil’s Travel-Size Sun and Moon Duo and white bag (ARV: $250.00) with a total value of $250.00 USD subject to the Official Sweepstakes Rules. The Grand Prize is strictly limited to those elements described in this Section 7. Any Grand Prize elements not specifically described in this Section 7 may be determined by Sponsors in its sole and absolute discretion. Sponsors may, in its sole and absolute discretion, present Winners with one or more Grand Prize options, from which Winners may choose one. However, Winners are not guaranteed or entitled to have the ability to request or demand any Prize elements that are not specifically stated in this Section 7.
(i) Approximate Retail Value (“ARV”): $250.00 USD
(ii) Anticipated Prize Fulfillment Date: February 31, 2023
(iii) Prize Fulfillment Location: United States (US)
(iv) Any Taxes or Fees Covered: If the Winner is a United States (“US”) resident, the Grand Prize will also include an additional cash payment of 25% of the ARV, excluding any cash component of the Grand Prize, for Winner to use to pay required US income taxes. If the Winner is a legal resident of any other eligible country outside of the US, then the Grand Prize will be awarded, net of all taxes, and Winner shall be solely responsible for payment of all applicable taxes in connection with receipt of the Grand Prize.
Except as explicitly stated, all Prizes are awarded as is, without any representations or warranties, and cannot be transferred, sold, substituted, or redeemed for cash by Winner. Unless noted in the Prize details in this Section 7, Winner is solely responsible for all taxes, costs, and fees associated with Prize receipt, ownership, and/or use. In order to accept the Grand Prize, Winner(s) must accurately complete and timely return all documentation required by Sponsors.
- Eligibility and Restrictions:
This Event is open to all legal residents of the fifty (50) US states and all legal residents of the United Kingdom who are at least eighteen (18) years of age at time of entry. Any entrants found to be under the age of 18 shall be disqualified. Employees of the Sponsors, its related or affiliated entities, or the advertising and promotion agencies involved in the Sweepstakes, and each of their respective employees (collectively, “Promotion Parties”), and their immediate family members (parent, child, sibling and spouse of each, regardless of where they reside) and those living in the same households of each (whether related or not) are not eligible.
Entry is subject to all applicable international, federal, state, and local laws and regulations and is void where prohibited. See the Official Sweepstakes Rules for more details. In certain jurisdictions, local rules and laws may restrict or prohibit the award of certain prizes or impose additional restrictions on participation.
- Agreement to Rules:
By entering, each participant (the “Participant”) acknowledges acceptance of and compliance with these official rules (the “Official Rules”) and represents and warrants that Participant meets the eligibility requirements set forth herein. In addition, Participant agrees to accept the decisions of Sponsor as final and binding as it relates to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.
- Winners List:
There will be one (1) winners, and the winners’ names will be announced on Instagram through @costabrazil and @tropicofc verified accounts only via direct message and other social media by the Sponsors. To obtain a copy of the Winners’ names or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: Amyris Clean Beauty, Inc. at 5885 Hollis Street, Suite 100, Emeryville, CA 94608.
- Winner Confirmation & Verification:
Potential Winners are subject to confirmation and verification by Sponsors per the terms and restrictions stated in the Official Sweepstakes Rules. As part of the Winner confirmation and verification process Sponsor may conduct background check(s) on a Potential Winner except where legally prohibited. Background checks may occur without any additional notice to Potential Winner and/or prior to awarding the Prize(s), as may be permitted by law. Participation in this Event constitutes Participant’s authorization to such background checks, without Sponsors providing additional prior notice or seeking additional authorizations or consents from Potential Winner.
- Terms & Conditions:
Sponsors reserve the right, in its sole discretion, to cancel, terminate, modify or suspend the Event should virus, bug, non-authorized human intervention, fraud, or other cause Sponsors’ control corrupt or affect the administration, security, fairness, or proper conduct of the Event. In such case, Sponsors may select the Winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsors. Sponsors reserve the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Event or website or violates these Terms & Conditions. Sponsors have the right, in its sole discretion, to maintain the integrity of the Event, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by the Event rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by a participant to deliberately damage any website or undermine the legitimate operation of the Sponsors may be a violation of criminal and civil laws. Should such an attempt be made, Sponsors reserve the right to seek damages to the fullest extent permitted by law.
- Limitation of Liability:
By entering, You agree to release and hold harmless Sponsors and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such participation in the Event and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.
- Disputes:
THIS EVENT IS GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Event, Participant agrees that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Event, shall be resolved individually, without resort to any form of class action, exclusively before a court located in City of San Francisco having jurisdiction. Further, in any such dispute, under no circumstances shall Participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than Participant’s actual out-of-pocket expenses (i.e., costs associated with entering the Event). Participant further waives all rights to have damages multiplied or increased.
